Wholesale Terms and Conditions
These Wholesale Terms and Conditions apply to all wholesale accounts, quotations, orders, and supply arrangements between Amiglow and the wholesale customer. By applying for a wholesale account, placing an order, or accepting delivery of goods, the customer agrees to be bound by these Terms.
1. Eligibility
Wholesale accounts are available to registered businesses, retailers, and approved trade customers only. Amiglow may request business registration details or other verification documents before approving or maintaining an account.
2. Orders and Pricing
All orders are subject to acceptance by Amiglow and stock availability. Prices, product ranges, minimum order quantities, and trading terms may change at any time without notice. Unless otherwise stated, all prices are exclusive of GST, freight, and any other applicable charges.
3. Payment Terms
Unless credit terms have been approved in writing, payment is required in full before dispatch. Where credit terms are granted, invoices must be paid by the due date stated on the invoice or otherwise agreed in writing. Amiglow may suspend supply, withhold dispatch, or recover overdue amounts where payment is not received on time.
4. Delivery and Risk
Delivery timeframes are estimates only and may be affected by stock availability, courier delays, customs clearance, weather, or other events beyond our control. Risk in the goods passes to the customer on dispatch, unless otherwise required by law or agreed in writing.
5. Title to Goods
Title to all goods remains with Amiglow until payment has been received in full. Until title passes, the customer must keep the goods separate and identifiable and must not dispose of them except in the ordinary course of business.
6. Returns and Claims
The customer must inspect all goods promptly on receipt and notify Amiglow of any shortage, damage, or defect within a reasonable time. Claims made outside a reasonable timeframe may not be accepted, except where required by law. Change-of-mind returns are not accepted unless agreed in writing or required by law.
7. Consumer Law
Nothing in these Terms limits any rights that cannot lawfully be excluded under New Zealand law. Where the Consumer Guarantees Act 1993 applies and cannot be contracted out of, Amiglow will handle valid claims in accordance with that Act. Where goods are supplied for business use, the parties may agree in writing that the Consumer Guarantees Act does not apply to the extent permitted by law.
8. Product Use and Resale
Wholesale goods are supplied for lawful resale or business use only. The customer is responsible for storing, handling, marketing, and reselling products in compliance with all applicable laws, including product safety and labelling requirements. Amiglow is not responsible for claims arising from misuse, improper storage, unauthorised repackaging, or misleading representations made by the customer.
9. Marketing and Representations
The customer must not make false, misleading, or unsupported claims about Amiglow, its products, or any brand supplied by Amiglow. Any advertising, product descriptions, or resale claims made by the customer are the customer’s responsibility and must comply with the Fair Trading Act 1986 and all other applicable laws.
10. Account Security
The customer is responsible for keeping account credentials secure and for all activity carried out under its wholesale account. Amiglow may suspend or terminate access if it reasonably believes the account has been misused, accessed without authority, or used in breach of these Terms.
11. Limitation of Liability
To the fullest extent permitted by law, Amiglow is not liable for indirect, incidental, or consequential loss, including loss of profit, business interruption, or reputational damage. Nothing in these Terms excludes liability where exclusion is not permitted by New Zealand law.
12. Changes to Terms
Amiglow may update these Terms from time to time. The version published on our website at the time of order will apply unless otherwise agreed in writing.
